Matthew Menchinton owns Julretsu and everything in it. This short summary is not part of the license; the terms below govern. 1. OWNERSHIP Julretsu, including its source code, object code, binaries, documentation, build scripts, designs, user interface, name, logos, icons, artwork, and all other materials in this repository (together, the "Software"), is the sole and exclusive property of Matthew Menchinton (the "Owner"). All right, title, and interest in and to the Software, including all copyrights, trademarks, trade secrets, and other intellectual property rights, are and remain with the Owner. The Software is licensed, not sold. Using, downloading, or building it does not transfer ownership of the Software or any copy of it to you. The Software is not open source. No open-source license applies to it. 2. PERMISSION TO USE Subject to this license, the Owner grants you a free, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) download, install, and run the Software on devices you own or control; (b) build the unmodified source code solely to run it yourself; (c) use the Software for personal, educational, and business work, including creating, editing, and sharing your own spreadsheets and other files with it. 3. YOUR CONTENT Workbooks, data, formulas, scripts, and other files you create with the Software belong to you. The Owner claims no rights in them. 4. RESTRICTIONS Except where the Owner gives prior written permission, you may not, in whole or in part: (a) claim ownership or authorship of the Software, or remove, alter, or obscure any copyright, ownership, or license notice; (b) sell, rent, lease, lend, sublicense, or charge anyone for the Software, or offer it as a hosted or paid service; (c) distribute, publish, or share copies of the Software, modified or not. Direct others to the Owner's official source instead; (d) modify, adapt, translate, or create derivative works of the Software, or incorporate any part of it into other software; (e) use the Software, or any part of it, to train, fine-tune, or evaluate any machine-learning or artificial-intelligence model; (f) use the name "Julretsu", or the Owner's logos, icons, or artwork, for your own products or in a way that suggests endorsement; (g) use the Software in violation of any applicable law. 5. CONTRIBUTIONS The Owner does not currently accept outside contributions. If you nevertheless submit any code, content, idea, or feedback relating to the Software, you assign to the Owner all right, title, and interest in it, and you agree the Owner may use it for any purpose without restriction, attribution, or compensation. Where assignment is not legally possible, you grant the Owner an exclusive, perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to it. 6. THIRD-PARTY COMPONENTS The Software uses third-party components that are licensed by their own authors under their own licenses, as listed in THIRD_PARTY_NOTICES.md. This license does not apply to those components and does not restrict any rights you have under their licenses. Those rights cover only the third-party components themselves and give you no rights in the Owner's Software. 7. THIRD-PARTY SERVICES The optional AI assistant connects to services you choose, such as an AI provider, using your own account and credentials. Your use of those services is governed by your agreement with that provider, including any fees they charge. The Owner is not responsible for those services. 8. CHANGES AND FUTURE LICENSING The Owner may license, relicense, sell, or release the Software, including under an open-source license, at any time and on any terms. Future versions may be offered under different terms. Any such change applies only to the versions and terms the Owner specifies. 9. TERMINATION This license ends automatically if you break any of its terms. The Owner may also end it for any user by written notice. When it ends, you must stop using the Software and delete all copies in your possession or control. Sections 1, 3, 5, 6, and 9 through 12 survive termination. The Owner may enforce these rights by any lawful means. 10. NO WARRANTY THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. YOU ARE RESPONSIBLE FOR KEEPING BACKUPS OF YOUR DATA. 11. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE OWNER BE LIABLE FOR ANY CLAIM, DAMAGES, LOSS OF DATA, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OF OR OTHER DEALINGS IN THE SOFTWARE. 12. GENERAL If any provision of this license is held unenforceable, the remaining provisions remain in full effect. The Owner's failure to enforce any provision is not a waiver of it. This license is the entire agreement concerning the Software unless the Owner has signed a separate written agreement with you.
